CONSOLIDATION PROJECTS
MBO (Management Buy-Out)
A company’s existing management together with the Fund purchase a controlling stake or holding.
MBI (Management Buy-In)
A management team that cannot acquire their company, purchase other enterprise where they can use their knowledge and experience.
EBO (Employee Buy-Out)
Employees intend to purchase their own company and look for a financial partner to pursue a buyout transaction.
SHARES ACQUISITION FROM SHAREHOLDERS
Owners of a company frequently have different views on the development strategy. The Fund’s investment and acquisition of a part of a company from some owners allows to avoid conflict escalation and enables development of the company.
SHARE PURCHASE AND EQUITY INCREASE (BUY AND BUILD TRANSACTION)
It is applied when a company requires subsidizing and it can be done by purchasing a part of shares from existing shareholders who cannot participate in increasing equity or are against it.
SHARES ACQUISITION FROM EMPLOYEES
In many companies that pursued employee leasing, employees are interested in selling their shares. 10 or 15 years after privatization numerous shareholders that participated in leasing are no longer a company’s employees and lose their interest in a company. A buyout together with the Fund allows to concentrate ownership in the hands of leading shareholders and thus provide basis for implementation of a development strategy and building a company’s value.
CONSOLIDATION PROJECTS
Projects aiming at acquiring 2 or 3 companies simultaneously and their consolidation.
